Long-term capital.
Partnerships in agriculture.

VERDANT EUROPE connects agricultural land, finance and local farming expertise. The aim is long-term business development grounded in each enterprise’s own economic performance.

How the model works

Land for the long term.
Capital for development.

APF AGRICULTURAL INVESTMENT LTD. (LTD) manages the model and issues VERDANToken. APF Malta Real Estate Limited (APF Malta) brings together equity interests and project financing. The farming partner contributes local expertise and manages agricultural operations.

Real estate activities ensure ongoing access to suitable land for acquisition as assets of the VERDANT EUROPE group.

Long-term partnerships aim to broaden farmers’ access to land and to working capital and investment finance. Budgets and repayment are always based on a reviewed project and funds actually available.

MODEL MANAGEMENT AND VERDT ISSUER

APF AGRICULTURAL INVESTMENT LTD.

According to the underlying documentation, LTD owns 100% of APF Malta and 99% of SICAV. It provides management, VERDT distribution and contractual holding-company financing from available funds.

HOLDING AND FINANCE

APF Malta Real Estate Limited

APF Malta holds land directly or through wholly owned land companies. It prepares equity investments and credit facilities for separate agricultural operations.

SEPARATE ROUTE FOR ELIGIBLE INVESTORS

APF GROUP EUROPE SICAV P.L.C.

SICAV raises capital through investment-share subscriptions. Intended investments in APF Malta and VERDT are governed by approved investment policy and the effective memorandum.

Land ownership and farming have defined roles.

01 / LAND

Land ownership

In the target model, land is owned directly by APF Malta or by its wholly owned land company. Land is not contributed to the joint operating business with the farmer.

02 / OPERATIONS

Farming partnership

A separate project company farms the land under a long-term lease. The model provides APF Malta with an interest of at least 25%, based on documented contributions. The farmer manages operations.

03 / DEVELOPMENT

Working capital and investment

Working capital facilities reflect agricultural seasonality. Investment finance supports approved development. Land acquisitions have a separate budget and funding.

This describes the target financial-model structure. Fund involvement requires the relevant decisions and a memorandum update planned for the first half of 2027. The structure does not confirm that acquisitions or all project-company formations have been completed.

A long-term perspective starts with project economics.

We assess land title, soil quality, partner experience, production plans and sales channels. Cash-flow planning must cover operations, land leases, financing, investment and reserves, including adverse scenarios.

Token-based finance and fund capital are different sources governed by separate rules. Holding VERDT alone does not provide land ownership or a share of farming results.
